Partner Program Terms and Conditions (T&C)
1.1 Purpose:
These Terms and Conditions govern your participation in the eDial India Partner Program. By applying and participating in the program, you agree to comply with these terms.
1.2 Agreement to Terms:
If you do not agree with these Terms and Conditions, you should not participate in the eDial India Partner Program.
2. Eligibility
2.1 Who Can Join:
You must be a legally registered business entity or an individual representing a business that provides services or products. You should also have an active website or online presence.
2.2 Restrictions:
The Program is open to partners in all countries, but some restrictions may apply based on your location and applicable laws.
3. Registration and Account Creation
3.1 Account Setup:
To join the eDial India Partner Program, you must complete the registration process, providing accurate business details such as your business name, website, contact details, and business type.
3.2 Accuracy of Information:
You agree to provide true, accurate, current, and complete information and to update your account as necessary.
4. Program Overview
4.1 Listing Partners:
As a Listing Partner, you can feature your business on eDial India’s online directory for a fee (if applicable). Listings must adhere to our content guidelines.
4.2 Affiliate Partners:
As an Affiliate Partner, you will promote eDial India’s services and refer new customers, earning commissions on successful sign-ups or transactions.
4.3 Reseller Partners:
As a Reseller Partner, you can resell eDial India’s products and services under a separate agreement.
4.4 Partner Tiers:
eDial India may offer different partnership levels (e.g., basic, premium) with varying benefits, such as enhanced exposure, advertising options, and additional tools for managing your listing.
5. Partner Responsibilities
5.1 Content Submission:
As a partner, you must provide all necessary business information for your listing. You are responsible for ensuring that all content is legal, accurate, and does not infringe on the rights of others.
5.2 Compliance:
You must comply with all relevant laws, including data protection, intellectual property rights, and consumer protection laws, while participating in the program.
5.3 Promotions:
If you are an Affiliate or Reseller Partner, you are responsible for promoting the program in a legal and ethical manner. You are prohibited from misleading customers or using deceptive marketing practices.
5.4 No Misuse:
You are prohibited from using eDial India’s platform or services for any illegal, harmful, or fraudulent activity.
6. eDial India’s Responsibilities
6.1 Platform Access:
eDial India will provide you with access to its online directory, tools for managing listings, and reporting for affiliate sales or referrals.
6.2 Customer Support:
eDial India will offer support for technical issues or questions related to the Partner Program.
6.3 Payment Processing:
eDial India will process payments for affiliate commissions or reseller profits on a regular schedule, typically monthly or as specified in the agreement.
7. Commission and Payment
7.1 Commission Structure:
Affiliate and Reseller Partners will earn a commission based on the revenue generated from their referrals or sales. Commissions may vary based on the program tier or sales volume.
7.2 Payment Terms:
Payments to partners will be made through bank transfer. Commission payments are processed monthly, and partners must provide accurate payment details.
7.3 Payment Threshold:
Partners must reach a minimum commission threshold of Rs. 30,000/-(Thiry Thousand Only) before payments are issued.
8. Termination of Agreement
8.1 By eDial India:
eDial India reserves the right to terminate a partnership at any time for reasons including, but not limited to, violation of these Terms and Conditions, fraudulent activities, or inactivity for a period of 30 Days.
8.2 By Partner:
Partners may terminate their participation by notifying eDial India in writing with 30 days advance notice.
8.3 Effects of Termination:
Upon termination, the partner’s access to the Partner Program, including any affiliate commissions or reseller rights, will be revoked.
9. Confidentiality
9.1 Confidential Information:
Both parties agree to keep any confidential information obtained through the program, including business strategies, marketing plans, and partner data, confidential and not disclose it to third parties.
10. Intellectual Property
10.1 Ownership:
All intellectual property, including trademarks, logos, and content on eDial India’s platform, is owned by eDial India. Partners are granted a limited, non-transferable license to use eDial India’s trademarks solely for program-related marketing.
11. Limitation of Liability
11.1 No Liability for Damages:
eDial India will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Partner Program.
11.2 Maximum Liability:
eDial India’s liability is limited to the amount of commission paid to the partner in the 6 months prior to the event giving rise to the claim.
12. Dispute Resolution
12.1 Governing Law:
This agreement will be governed by and construed in accordance with the laws of Karnal, Haryana.
12.2 Dispute Resolution Process:
Any disputes will first be attempted to be resolved through informal negotiations. If not resolved, disputes will be submitted to binding arbitration in Karnal, Haryana.
13. Modifications
eDial India reserves the right to modify these Terms and Conditions at any time. Partners will be notified of material changes, and continued participation in the program constitutes acceptance of those changes.
